PRAGNUM ADVISES FOREIGN SUPPLIER ON AN ARBITRATION DISPUTE INVOLVING OVER €2 MILLION

PRAGNUM ADVISES FOREIGN SUPPLIER ON AN ARBITRATION DISPUTE INVOLVING OVER €2 MILLION

Tuesday, 3 November 2026

The dispute arose in connection with the performance of an international supply contract. The claimant in the case is the state enterprise of the Ministry of Defense of Ukraine "Defense Procurement Agency" (DPA), which has asserted claims against the foreign company due to what the claimant considers to be improper performance of contractual obligations, in particular regarding delivery deadlines, the application of contractual liability, and indemnification for damages.

The subject matter of the dispute involves claims for the recovery of substantial fines, penalties, and damages, which the other party links to improper performance of contractual obligations. Particular complexity arises from determining the legal nature of the asserted claims, the substantiation of their quantum, and the existence of a causal link between the parties' actions and the claimed financial losses.

Within the scope of the project, the PRAGNUM team carried out a comprehensive analysis of the contract documentation, addenda, contract execution circumstances, and provided dispute materials.

We paid special attention to the interpretation of the international contract provisions, including the correlation between its different language versions, the determination of the scope of the parties' contractual obligations, the application of force majeure provisions, and the legal grounds for exemption from liability.

An important focus of the legal analysis also included the admissibility of simultaneous recovery of contractual penalties and damages, the possibility of reducing the amount of liquidated damages, as well as the lawfulness of imposing negative financial consequences arising within other contractual relationships onto one of the parties.

Given the international nature of the dispute, the PRAGNUM team is also analyzing the interplay between national legislation, contract terms, and international legal instruments that could potentially apply to the disputed legal relationships.

The project combines issues of international commercial arbitration, contract law, liability for breach of obligations, and the application of Ukrainian law to international commercial relations.
